Snap-Commerce ERP — Rules for subscriptions, payments, usage, and liability.

1. Introduction
Welcome to Snap-Commerce ERP, a comprehensive digital platform providing cloud-based business and ERP solutions. By using our services, you agree to comply with these Terms & Conditions.
2. Acceptance of Terms
Accessing or using the platform constitutes full acceptance of these Terms. Any client-specific terms must be expressly agreed in writing to override these Terms.
3. User Accounts and Subscriptions
• Some services require creating a user account. • Users must provide accurate information. • Accounts are personal; credentials must be kept secure. • Subscription plans are based on published pricing. • Monthly subscriptions are for cloud services only, payable by credit card or approved automatic debit. • Snap-Commerce may reject non-compliant subscriptions.
4. Platform Usage
• Use the platform only for lawful purposes. • Users are responsible for content uploaded or entered. • Self-hosted services require user responsibility for data protection. • Cloud services include secure hosting, backups, and disaster recovery.
5. Payment and Invoices
• Invoices are payable within 21 working days unless otherwise specified. • Access to services requires **prepayment**; services will be suspended if payment is not made in advance for the desired usage period. • Services may be suspended for late payment. • Overdue payments exceeding 60 days may involve debt collection; costs borne by the client. • Clients are responsible for taxes. • Upgrades or additional users incur extra fees.
6. Services Provided
• Bug fixes and technical support within 2 business days. • Upgrades include data conversion and bug resolution. • Cloud hosting provides secure, encrypted servers with automated backups.
7. Data Protection and Privacy
• Snap-Commerce protects user data in compliance with privacy laws. • Third-party providers may process data under confidentiality agreements. • Users are responsible for safeguarding credentials. • Data is deleted or returned upon account termination, unless required by law to retain.
8. Liability and Indemnification
• Services are provided "as-is"; Snap-Commerce is not liable for indirect or consequential damages. • Maximum liability for claims is 50% of total amounts paid in the previous 12 months. • Liability excludes lost profits or incidental damages.
9. Confidentiality
All information regarding the client or platform is confidential and may only be disclosed when legally required, with prior notice if possible.
10. Governing Law and Jurisdiction
These Terms are governed by the laws of the Arab Republic of Egypt. Disputes are subject to the exclusive jurisdiction of Cairo Economic Courts.
11. Amendments
Snap-Commerce may modify these Terms at any time without notice. Continued use of the platform constitutes acceptance of updated Terms.

Snap-Commerce Terms & Conditions

1. Introduction

Welcome to Snap-Commerce, a digital platform fully owned by Logic Group.
The platform provides comprehensive digital solutions and services for businesses of all sizes, including cloud-based systems, business management, eCommerce, and digital transformation services.
By using the platform or any of its services, you agree to comply with these Terms & Conditions and all referenced policies.


2. Acceptance of Terms

  1. Accessing or using the platform constitutes full and unconditional acceptance of these Terms & Conditions.

  2. If you do not agree with any provision, you must not use the platform.

  3. Any client-specific terms differing from these Terms are null unless expressly agreed in writing in advance.


3. Platform Ownership and Copyright

  1. Snap-Commerce and all its content, including text, designs, trademarks, and logos, are the exclusive property of Logic Group.

  2. Copying or reusing any content without prior written permission is strictly prohibited.


4. User Accounts and Subscriptions

  1. Some services may require creating a user account.

  2. Users must provide accurate and up-to-date information.

  3. Users are solely responsible for maintaining the confidentiality of their account credentials and any activity under their account.

  4. Subscription plans are defined according to the pricing plans published on the platform.

  5. Monthly subscriptions are available only for cloud-hosted services and are payable via credit card or approved automatic debit methods.

  6. Snap-Commerce reserves the right to reject any subscription that does not comply with these conditions.


5. Platform Usage

  1. Users may only use the platform for lawful purposes and in accordance with the laws of the Arab Republic of Egypt.

  2. Users are fully responsible for any content or data uploaded or entered into the platform.

  3. For self-hosted services, users are responsible for data protection and ensuring data integrity.

  4. For cloud-hosted services, Snap-Commerce provides secure hosting, automated backups, and disaster recovery measures.


6. Services Provided

Snap-Commerce services include:

6.1 Bug Fixing and Support

  • Technical support for user inquiries and standard platform features.

  • Correction of platform errors (Bugs) reported through proper channels within 2 business days.

  • Users may be required to upgrade to a newer platform version to resolve certain bugs.

6.2 Upgrades

  • Users can request database upgrades to newer platform versions.

  • Upgrades include technical data conversion, bug fixes, and compatibility adjustments.

  • Users must verify upgraded databases and report issues post-upgrade.

6.3 Cloud Hosting

  • High-security hosting in Tier-III data centers or equivalent.

  • SSL (HTTPS) encrypted communication.

  • Fully automated and replicated backups in multiple regions, along with a disaster recovery plan.


7. Payment and Invoices

  1. Invoices are payable within 21 working days unless otherwise specified.

  2. Snap-Commerce may suspend services for late payment.

  3. If payment is overdue for more than 60 days, Snap-Commerce may involve a debt collection company, and all legal costs will be borne by the client.

  4. Clients are responsible for all applicable taxes.

  5. Any increase in the number of users or upgrade to a higher subscription plan will incur additional fees as published.


8. Data Protection and Privacy

  1. Logic Group is committed to protecting user privacy according to the published privacy policy.

  2. Third-party service providers may be used to process data in compliance with applicable laws.

  3. Users are responsible for safeguarding account credentials and data integrity.

  4. Upon termination of an account or subscription, all data will be deleted or returned per the privacy policy, unless required by law to retain it.


9. Liability and Indemnification

  1. Services are provided “as-is” without any express or implied warranties. Snap-Commerce is not liable for direct or indirect damages arising from platform use.

  2. Maximum liability for any claim does not exceed 50% of the total amounts paid by the user over the previous 12 months.

  3. Liability does not include indirect, consequential, or incidental damages such as lost profits or data.


10. Confidentiality

  • All information related to the client or platform is confidential and must be protected.

  • Confidential information may only be disclosed when required by law and after notifying the other party.


11. Governing Law and Jurisdiction

  • These Terms are governed by the laws of the Arab Republic of Egypt.

  • Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the Cairo Economic Courts.


12. Amendments

  • Snap-Commerce reserves the right to modify these Terms at any time without prior notice.

  • Continued use of the platform after updates constitutes acceptance of the revised Terms.
